MINING

Our mining practice is an integral part of the firm’s market leading projects practice. We assist all kinds of national and international, from junior to major, mining companies in their investments and the development of their projects in Peru. Due to the specialisation of our members in the mining field, our mining practice adds to and benefits from the expertise developed in connection with other natural resources and infrastructure projects, particularly in relation to land management issues, as well as issues relating to environmental matters, regulatory compliance, community relations, water rights, cultural heritage and natural reserves.

We handle the complete range of mining-related work, from due diligence regarding the acquisition of title to concessions, through the exploration, permitting, development (construction) and production phases. We are renowned for handling highly complex matters.

The mining practice group works closely with the firm’s market-leading departments in other key overlapping practice areas, such as energy, tax, corporate/M&A, dispute resolution and labour & employment, providing clients with essential cross-over expertise.

Our expertise includes:

  • Acquisition and financing: We stand out for our expert handling of the acquisition and financing of mining projects, for which purposes we draw on the expertise we have both within the mining practice group and as a market leading full-service firm with extensive experience in M&A and financing.
  • Permitting: We are highly sought after to assist our clients in obtaining the necessary permits to develop their projects, including environmental, water, land access and construction authorizations, as well as to provide complex opinions in connection with permitting for mining projects, providing practical solutions and objective assessments of legal risks.
  • Complex disputes: We handle complex disputes for mining clients, before local and international arbitration panels and at the judiciary, for which purposes we assemble expert teams comprising lawyers from both the firm’s mining and market-leading dispute resolution practice groups on a case by case basis.

A SAMPLE OF OUR EXPERIENCE

  • We provide permanent advisory to Mitsubishi Corporation in connection with its investments in Peru. In 2018, the firm assisted MCQ Copper Ltd., a wholly owned subsidiary of Mitsubishi Coporation, as it increased its stake in Anglo American Quellaveco SA (AAQSA), which owns the Quellaveco copper project. Mitsubishi held an 18.1% interest in AAQSA and increased it to 40% as a result of this US$ 500 million transaction.
  • We provide regular advice to Minera Las Bambas (owned by a consortium led by MMG) in connection with its Las Bambas mine, the development of which has required an investment upwards of US$ 10 billion. Notable matters for Minera Las Bambas have included assisting them on several financings, the development of railway infrastructure to transport mineral concentrates to the coast, water permitting, regulatory, environmental and contractual matters, among others.
  • We assist MMC with project development, corporate, tax, labor and migratory matters relating to its 20% interest investment in the Zafranal Project (Compañía Minera Zafranal– CMZ) in southern Peru, currently controlled by Teck Resources Limited.
  • We are advising Minera Chinalco Peru on various aspects related to the Toromocho mine, one of the most important mining operations in Peru, such as regulatory matters and land management issues. We are also involved in providing legal advice in connection with the expansion of the mine, which is a critical aspect to its operations.
  • We assist Apurimac Ferrum with all its legal matters in Peru, including corporate and contractual issues, regulatory compliance with mining and environmental laws and the analysis of new projects and investment opportunities. We have also acted for them in land management issues and negotiations with the communities surrounding the company’s iron ore project in Apurimac.
