Gloria’s shareholders acquire assets from two trusts managed by La Fiduciaria
Miranda & Amado Abogados has advised Gloria’s controlling shareholders who, through three agricultural special purpose vehicles Agrojibito, Jibiport and Agropecuaria Aurora –, acquired, among others, an ethanol plant and 13,000 square hectares of land held in trusts managed by La Fiduciaria.
Such companies used a loan of up to US$120 million, process in which Miranda & Amado also advised with Skadden, Arps, Slate, Meagher & Flom LLP.
The deal closed on March 27, 2015.
For the acquisition, Agrojibito, Jibiport and Agropecuaria Aurora were advised by partners José Daniel Amado and Rocío Liu, counsels Anahi Com and Sergio Quiñones, and associates Giulio Valz-Gen, Luis Andres Ponce Mendoza, Adriana Bendezú, Eduardo Pedroza, José Luis Vargas-Machuca, Pedro Morales, Luis Aliaga, Yelitza Valdivia and Valery Vicente. Meanwhile, the financing was advised by Counsel Anahi Com and associates Valery Vicente and Luis Andres Ponce Mendoza.
